Terms of Service

These Terms are between you (the "Customer") and OCIDM ("BuildStax", "we"). By creating a workspace or using the platform, you agree to these terms.

Keep your credentials secure. You are responsible for actions taken by any user you invite to your workspace. You must be at least 18 to sign up.

Pricing is published at /pricing and does not vary with your construction volume. Annual invoices are due net-30. Monthly subscriptions renew on the same day of the month you signed up. You can cancel any time; we do not prorate refunds for the current period but we don't lock you out either — you keep access through the period you paid for.

You own your data. We are the data processor; you are the data controller. We will never sell, share, or use your data to train third-party AI models. You can export the full contents of your workspace as structured JSON at any time from Settings → Privacy. If we ever fail to deliver an export within 5 business days of request, we refund the last 12 months of subscription fees, no questions asked.

We follow the security practices described at /legal/security. We commit to reasonable steps to protect your data, but no system is fully secure. Suspected breaches are notified within 72 hours of confirmation.

We target 99.9% monthly uptime on paid plans. Below that, we credit 5% of the month's subscription per full 0.1% missed, up to 50%. Free trial users are not covered by SLA.

You will not use BuildStax to store or process (a) protected health information, (b) government-classified information, (c) content that violates law, or (d) content designed to defraud any party. Prequalification credentials you upload for subcontractors must be accurate and current.

Stripe, QuickBooks, Anthropic, OpenSpace, DroneDeploy, and other integrations are governed by their own terms. Enabling an integration authorizes BuildStax to transmit the data described on that integration's settings page.

Either party may terminate for any reason with 30 days written notice. After termination you have a 30-day grace period to export your data before it is permanently deleted (see Privacy for retention specifics).

The service is provided "as is" without warranty of any kind. Our liability is capped at the amount you paid us in the 12 months preceding the claim. We are not liable for construction outcomes — you and your subcontractors remain solely responsible for the work performed on your projects.

Material changes are posted 30 days in advance and emailed to the workspace owner. Non-material clarifications are versioned at the top of this page.

These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles. Disputes are resolved in state or federal court in Delaware.
